TERMS OF USE

By downloading, browsing, accessing, or using this "Lohana Connect" mobile application ("Mobile Application"), you agree to be bound by these Terms and Conditions of Use. We reserve the right to amend these terms and conditions at any time. If you disagree with any of these Terms and Conditions of Use, you must immediately discontinue your access to the Mobile Application and your use of the services offered on the Mobile Application. Continued use of the Mobile Application will constitute acceptance of these Terms and Conditions of Use, as may be amended from time to time.

1. GENERAL ISSUES ABOUT THE MOBILE APPLICATION AND THE SERVICES

1.1 Applicability of terms and conditions: The use of any Services and/or the Mobile Application is subject to these Terms and Conditions of Use.
1.2 Location: The Mobile Application, and the Services are intended solely for use by Users being Community Members who access the Mobile Application in India and worldwide. We make no representation that the Services (or any goods or services) are available or otherwise suitable for use by community members. If you access the Mobile Application, use the Services from locations outside India, you do so on your own initiative and are responsible for the consequences and for compliance with all applicable local laws of the respective country where the mobile application is used/operated.
1.3 Scope: The Mobile Application Services are for your commercial, business & professional, community connect & networking, social & personal use.
1.4 Prevention on use: We reserve the right to prevent you from using the Mobile Application and the Service (or any part of them) and to prevent you from making any unauthorized use.
1.5 Equipment and Networks: The provision of the Services and the Mobile Application does not include the provision of a mobile telephone or handheld device or other necessary equipment to access the Mobile Application. To use the Mobile Application or Services, you will require Internet connectivity and appropriate telecommunication links. You acknowledge that the terms of agreement with your respective mobile network provider ("Mobile Provider") will continue to apply when using the Mobile Application. As a result, you may be charged by the Mobile Provider for access to network connection services for the duration of the connection while accessing the Mobile Application or any such third-party charges as may arise. You accept responsibility for any such charges that arise.
1.6 License to Use Material: By submitting any text or images (including photographs) ("Material") via the Application, you represent that you are the owner of the organization/material/services or that the personal/family information belongs to you & your family only, or have proper authorization from the organization/material/services of the Material to use, reproduce, and distribute it. You hereby grant us a worldwide, royalty-free, non-exclusive right/license to use such Material to promote any products or services or to use your individual/family information for any community cause/activities.

2. LOCATION ALERTS AND NOTIFICATIONS

You agree and confirm to receive pre-programmed notifications ("Location Alerts") on the Mobile Application from Merchants if you have turned on location services on your mobile telephone or other handheld devices (as the case may be).

3. YOUR OBLIGATIONS

3.1 User terms: You agree to (and shall) abide by the terms and conditions of the relevant User for which your connection relates to, as may be amended from time to time.
3.2 Accurate information: You warrant that all information provided on Registration and contained as part of your Account is true, complete, and accurate and that you will promptly inform us of any changes, if any, to such information by updating the information in your Account.
3.3 Content on the Mobile Application and Service: It is your responsibility to ensure that any products, images, material, details, Samples, or information available through the Mobile Application or the Services meet before making any connection with the other community members.
3.4 Prohibitions in relation to usage of Services or Mobile Application: Without limitation, you undertake not to use or permit anyone else to use the Services or Mobile Application:-

  • (a) To send or receive any material which is not civilized or tasteful.
  • (b) To send or receive any material which is threatening, grossly offensive, indecent, obscene, menacing, blasphemous, or defamatory of any person, in contempt of court or in breach of confidence, copyright, rights of personality, publicity, privacy, or any other third-party rights;
  • (c) To send or receive any material for which you have not obtained all necessary licenses and/or approvals (from us or third parties); or which constitutes or encourages such conduct that may be considered a criminal offense, give rise to civil liability, or otherwise be contrary to the law of or infringe the rights of any third party in any country in the world;
  • (d) To send or receive any material which is technically harmful (including computer viruses, logic bombs, Trojan horses, worms, harmful components, corrupted data, or other malicious software or harmful data);
  • (e) To cause annoyance, inconvenience, or needless anxiety;
  • (f) To intercept or attempt to intercept any communications transmitted by way of a telecommunications system;
  • (g) For a purpose other than which we have designed them or intended them to be used;
  • (h) For any fraudulent purpose;
  • (i) Other than in confirmation with accepted Internet practices and practices of any connected networks;
  • (j) In any way which is calculated to incite hatred against any ethnic, religious, or any other minority or is otherwise calculated to adversely affect any individual, group, or entity.

4. SUSPENSION AND TERMINATION

4.1 Suspension of services: If you use (or anyone other than you, with your permission uses) the Mobile Application or any Services in contravention of these Terms and Conditions of Use, we may suspend your use of the Services and/or Mobile Application.
4.2 Suspension due to false information: In the event we find that any user of the application is not belonging to the Lohana Community, the said registration shall be immediately suspended without any further notice.
4.3 Suspension for false personal information: In the event we find that any community member/user has given false information regarding their family information/personal identifiable information/business information/profession information/other information, the said registration shall be immediately suspended without any further notice.
4.4 Suspension restoration: In the event we suspend the Services or Mobile Application, we may refuse to restore the Services or Mobile Application for your use until we receive an assurance from you, in a form we deem acceptable, that there will be no further breach of the provisions of these Terms and Conditions of Use.
4.5 Suspension rights: Without limitation to anything else in this Clause, we shall be entitled immediately or at any time (in whole or in part) to:

  • (a) Suspend the Services and/or Mobile Application;
  • (b) Suspend your use of the Services and/or Mobile Application; and/or
  • (c) Suspend the use of the Services and/or Mobile Application for persons we believe to be connected (in whatever manner) to you, if:
    • (i) You commit any breach of these Terms and Conditions of Use;
    • (ii) We suspect, on reasonable grounds, that you have, might, or will commit a breach of these Terms and Conditions of Use; or
    • (iii) We suspect, on reasonable grounds, that you may have committed or be committing any fraud against us or any person.

5. PRIVACY AND PERSONAL DATA

5.1 Privacy Policy: By using the Mobile Application, you agree to the collection, use, and sharing of your information as outlined in our Privacy Policy. The Privacy Policy explains how we collect, use, and protect your personal data.
5.2 Data Sharing: We may share your information with third parties, such as affiliates, partners, and service providers, to offer you the services provided through the Mobile Application. You agree to this sharing when using the services.
5.3 Data Retention: We will retain your information for as long as necessary to fulfill the purposes outlined in the Privacy Policy or as required by law.

6. INTELLECTUAL PROPERTY

6.1 Ownership: All content and materials on the Mobile Application, including but not limited to text, images, graphics, logos, audio, video, and software, are the property of Lohana Connect or its licensors and are protected by intellectual property laws.
6.2 License: We grant you a limited, non-transferable, non-exclusive license to access and use the Mobile Application and its content for personal, non-commercial use, subject to these Terms and Conditions.
6.3 Restrictions: You agree not to copy, modify, distribute, sell, or lease any part of the Mobile Application or its content without prior written permission from us.

7. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

7.1 No Warranty: The Mobile Application and Services are provided on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, regarding the availability, reliability, accuracy, or suitability of the Mobile Application or Services for your use.
7.2 Limitation of Liability: To the fullest extent permitted by law, we shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from your use or inability to use the Mobile Application, the Services, or any content, including but not limited to damages for loss of data, loss of profit, or any other commercial or personal damages.
7.3 Third-Party Content: The Mobile Application may contain links to third-party websites or content that we do not control or endorse. We are not responsible for any content, materials, or information provided by third parties.

8. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Lohana Connect, its affiliates, employees, agents, partners, and licensors from any claims, damages, losses, liabilities, or expenses (including legal fees) arising out of your use of the Mobile Application, Services, or violation of these Terms and Conditions.

9. GOVERNING LAW AND DISPUTE RESOLUTION

9.1 Governing Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of India.
9.2 Dispute Resolution: Any disputes arising out of or in connection with these Terms and Conditions shall be resolved through amicable discussions. If the dispute cannot be resolved amicably, it will be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.

10. AMENDMENTS TO THE TERMS AND CONDITIONS

10.1 Changes: We reserve the right to modify, update, or change these Terms and Conditions at any time without prior notice. Any changes will be effective immediately upon posting on the Mobile Application.
10.2 Notification: We will attempt to notify users of significant changes to the Terms and Conditions, but it is your responsibility to review these Terms regularly.

11. TERMINATION

11.1 Termination by User: You may terminate your account and cease using the Mobile Application at any time by contacting us and requesting account deletion.
11.2 Termination by Us: We may suspend or terminate your account and access to the Mobile Application if we believe you have violated these Terms and Conditions or engaged in any fraudulent activity.

12. FORCE MAJEURE

12.1 Force Majeure Event: We shall not be held liable for any failure or delay in the performance of our obligations under these Terms and Conditions if such failure or delay is caused by events beyond our reasonable control, including but not limited to natural disasters, acts of government, war, civil unrest, strikes, and other unforeseen circumstances.
12.2 No Liability for Delays: In the event of a Force Majeure, we will make reasonable efforts to resume performance as soon as the event is over. We are not liable for any consequences of such delays or failures to perform.

13. SEVERABILITY

13.1 Severability Clause: If any provision of these Terms and Conditions is determined to be unlawful, void, or unenforceable, that provision will be deemed severable from these Terms and Conditions and will not affect the validity and enforceability of the remaining provisions.

14. ENTIRE AGREEMENT

14.1 Agreement: These Terms and Conditions, along with the Privacy Policy and any other legal notices published on the Mobile Application, constitute the entire agreement between you and Lohana Connect with respect to your use of the Mobile Application and Services.
14.2 No Waiver: Our failure to enforce any provision of these Terms and Conditions does not constitute a waiver of that provision. Any waiver must be made in writing and signed by an authorized representative of Lohana Connect.
